Register a private limited company (ApS) in Denmark

Form an ApS entirely online through Virk.dk. Registration is fast once you have DKK 20,000 in share capital and a Danish digital identity (MitID) or an authorised agent.

Step by step

    Choose the company form

    Confirm the ApS suits your needs; the low-capital IVS was abolished in 2019, so the ApS is the standard small-company vehicle.

    Draft the memorandum and articles

    Prepare the stiftelsesdokument and vedtægter setting out capital, management and purpose.

  3. 3

    Deposit the share capital

    Pay at least DKK 20,000 into a company bank account or hold it with a lawyer/accountant.

    Register on Virk.dk

    Complete the digital registration with the Danish Business Authority to obtain a CVR number.

    Register beneficial owners

    File the beneficial-ownership information in the public register straight after incorporation.

    Set up tax and VAT

    Register for corporate tax and, if turnover requires, VAT (moms) through the same portal.
